1. Introduction

These Terms and Conditions govern the use of services provided by Matthew Alexander Creations, an interior design service operated by Matthew Alexander Lockhart, hereinafter referred to as "the Designer," and the client engaging the services of the Designer via the email address mac.definingyourstyle@gmail.com, hereinafter referred to as "the Client." By engaging the services of the Designer, the Client agrees to be bound by these Terms and Conditions.

2. Services Provided

The Designer offers interior design services for commercial, residential, and architectural projects. Services may include and are not limited to, conceptual design, space planning, material selection, furniture sourcing, and project management.

3. Client Responsibilities

The Client agrees to provide accurate and timely information relevant to the project. The Client shall also provide access to the property or project site as necessary for the Designer to perform their services.

4. Fees and Payments

Fees for services provided by the Designer will be agreed upon in advance and outlined in the contract agreement. Payment terms will also be specified in the contract agreement. Any additional expenses incurred during the project will be communicated to the Client for approval before being incurred.

5. Intellectual Property

All intellectual property rights associated with designs, concepts, and materials produced by the Designer shall remain the property of the Designer unless otherwise agreed upon in writing. The Client may use the designs and materials solely for the purpose outlined in the project agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive information shared during the project. This includes but is not limited to, proprietary business information, personal information, and project details.

7.  Images and/or Likeness 

Unless disagreed otherwise, the Client agrees to the use of before and after images of the project to be used for the Designer’s portfolio within all forms of marketing materials such as digital, printed, and social media. Video segments will be agreed upon before filming.

8. Termination

Either party may terminate the agreement with written notice &/or if the other party breaches any material or term of the agreement. Upon termination, the Client shall pay for all services rendered and all phases of payment as agreed per the contract. See Kill Fee details as written.

9. Kill Fee 

The kill fee is a collective amount due payable upon termination. As a one lump sum, this fee is defined by the agreement of the contract for all phases specified, complete or incomplete, as was agreed & described by the terms & fees of each phase.

10. Dispute Resolution

Any disputes arising from the agreement shall be resolved through good faith negotiation between the parties. If a resolution cannot be reached within (3) three months of the termination by a Designer-Client agreement then a small claims process to collect all payments due will ensue.

11. Governing Law

These Terms and Conditions shall be governed by and construed under the laws of the state of California, without regard to its conflict of law provisions.

12. Amendments

These Terms and Conditions may be amended or updated by the Designer at any time. The Client will be notified of any changes, and continued use of the Designer's services constitutes acceptance of the amended Terms and Conditions.
